Terms and Conditions – Digital Gift Cards for eBook Discounts

These Terms and Conditions govern the purchase and use of digital gift cards issued by Shepheard-Walwyn.

By purchasing, receiving, or redeeming a Gift Card, you agree to be legally bound by these Terms.

 

1. Definitions

For the purposes of these Terms:

“Account”

Means a registered user account on the Company platform.

“Gift Card”

Means a digital code issued by the Company that provides a specified discount or credit toward eligible eBook purchases.

“Platform”

Means the website, application, or digital system operated by the Company through which eBooks and Gift Cards are offered.

“eBook”

Means a digital book or any other digital publication available through the Platform.

“User”

Means any individual or entity that purchases, receives, or redeems a Gift Card.

 

2. Acceptance of Terms

By purchasing or using a Gift Card, you confirm that:

  • You have read and understood these Terms
  • You agree to comply with them
  • You are legally capable of entering into a binding contractBy purchasing or redeeming a Gift Card, you confirm that you have read, understood, and accept these Terms. If you do not agree with these Terms, you must not purchase or redeem Gift Cards. Purchase or redemption of a Gift Card after these Terms have been made available to you constitutes acceptance of them.

 

3. Nature of Gift Cards

3.1 Gift Cards are digital vouchers that provide discounts or credit toward eligible eBooks on the Platform.

3.2 Gift Cards:

  • Have no cash value except where required by law
  • Cannot be exchanged for cash
  • Cannot be reloaded unless explicitly stated

3.3 Gift Cards do not constitute electronic money and are not regulated financial instruments.

3.4 The Company reserves the right to determine which eBooks are eligible for Gift Card redemption.

 

4. Account Requirements

4.1 Redemption of a Gift Card may require a registered Account.

4.2 Users are responsible for:

  • Maintaining the confidentiality of account credentials
  • All activity occurring under their account

4.3 The Company reserves the right to suspend or terminate accounts involved in:

  • Fraudulent activity
  • Abuse of promotional systems
  • Breach of these Terms

 

5. Purchase and Payment

5.2 Gift Cards may be purchased through the Platform using approved payment methods.

5.2 All prices are listed in Great British Pounds (GBP) and include VAT where applicable.5.3 Payment processing may be handled by third-party payment providers.

5.4 The Company reserves the right to:

  • Refuse transactions
  • Cancel orders suspected of fraud or misuse

 

6. Delivery

6.1 Gift Cards are delivered electronically via Email or The User’s Platform account.

6.2 Delivery is typically immediate but may be delayed due to:

  • Payment verification
  • Technical issues
  • Fraud prevention checks

6.3 The Company is not responsible for Gift Cards sent to incorrect email addresses provided by the purchaser.

 

7. Redemption and Use

7.1 Gift Cards may only be redeemed on the Platform.

7.2 Redemption conditions may include:

  • Minimum purchase values
  • Restrictions on specific titles or publishers
  • Limits on combining promotions

7.3 Unless otherwise specified:

  • Gift Cards may only be redeemed once
  • Unused balances may be forfeited

7.4 Gift Cards may not be resold, transferred for commercial gain, or used for unauthorized promotional purposes without written consent.

 

8. Expiration

8.1 Gift Cards are valid for 6 months from the date of issue unless otherwise stated.8.2 Expired Gift Cards cannot be redeemed or reinstated.

 

9. Consumer Cancellation Rights

Under the Consumer Contracts Regulations 2013, consumers generally have a 14-day cancellation period for distance purchases.

However, where a digital product is supplied immediately and the consumer:

  • expressly requests immediate performance, and
  • acknowledges that the right to cancel is lost,

the cancellation right does not apply.

By purchasing a Gift Card and requesting immediate delivery, you consent to the immediate supply of digital content and acknowledge that your right to cancel may be waived.

 

10. Refund Policy

10.1 Gift Cards are non-refundable once delivered, except where required by law.

10.2 Refunds may be granted where:

  • A Gift Card is defective or invalid due to Company error
  • Required under applicable consumer protection laws

11. Fraud Prevention and Security

11.1 The Company reserves the right to:

  • deactivate Gift Cards obtained fraudulently
  • cancel suspicious transactions
  • suspend accounts involved in abuse

11.2 The Company is not responsible for lost, stolen, or unauthorized use of Gift Card codes once delivered.

11.3 Automated systems may be used to detect suspicious activity.

 

12. Intellectual Property

12.1 All intellectual property rights in the Platform, including software, branding, and content, remain the property of the Company or its licensors.

12.2 Users receive a limited, non-exclusive, non-transferable licence to access the Platform for personal use.

12.3 No rights are granted to reproduce, distribute, or commercially exploit Platform content without permission.

 

13. Availability of eBooks

13.1 The availability of eBooks may change at any time due to:

  • licensing restrictions
  • publisher agreements
  • technical reasons

13.2 The Company does not guarantee that specific eBooks will remain available for purchase or redemption.

 

14. Limitation of Liability

To the fullest extent permitted by law:

14.1 The Company shall not be liable for:

  • indirect or consequential losses
  • loss of profits or data
  • technical disruptions outside its control

14.2 The Company’s maximum liability shall not exceed the value of the Gift Card purchased.

Nothing in these Terms limits liability for:

  • death or personal injury caused by negligence
  • fraud or fraudulent misrepresentation
  • rights protected under the Consumer Rights Act 2015.

 

15. Data Protection and Privacy

Personal data will be processed in accordance with applicable data protection laws including UK GDPR.

16. Modifications to Terms

We may update these Terms periodically.

Updated Terms will be posted on the Platform and will apply to future purchases.

Existing Gift Cards will remain governed by the Terms in effect at the time of purchase unless otherwise required by law.

 

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
